These Terms of Service ("Terms") govern access to the C9X PRO website at c9xpro.com, application at app.c9xpro.com, and related software services (collectively, the "Service"). The Service is provided by C9X Pro LLC, a Tennessee limited liability company ("C9X PRO," "we," "us," or "our"). "You" means the individual or business accepting these Terms.

By affirmatively accepting these Terms when registering, signing in, or purchasing the Service, you agree to them. If you act for a business, you represent that you have authority to bind that business. If you do not agree, do not register for or purchase the Service.

1. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract. The Service is intended for business use by lighting contractors and related professionals.

Provide accurate account and billing information and keep it current. One subscription covers one company and its authorized personnel, subject to the plan purchased. Access for unrelated businesses requires separate subscriptions unless we agree otherwise in writing.

Protect your login credentials and grant access only to authorized personnel. Use individual logins where available, remove access when personnel leave, and promptly report suspected unauthorized access to support@c9xpro.com. You are responsible for activity by people you authorize and for unauthorized activity to the extent caused by your failure to use reasonable account security. This does not excuse our own security obligations.

If account ownership is disputed, we may request evidence of business ownership or authority and temporarily restrict disputed access while the parties resolve the issue.

2. License and scope of the Service

Subject to these Terms and payment of applicable fees, we grant you a limited, nonexclusive, nontransferable right to use the Service for your business during your trial or subscription.

The Service provides tools for photo-based lighting design, measurement estimates, visualizations, pricing, proposals, material planning, and crew work orders. Features available to you are those included in your purchased plan or trial. Purchase based on currently available functionality, rather than anticipated releases or statements about possible future features.

C9X PRO supplies software. We do not perform or supervise your installations, inspect properties, or act as a party to your contracts with customers.

3. Measurements, quantities, and visualizations

Photo-based measurements and material calculations are estimates that require your review. Accuracy depends on factors including reference dimensions, scale calibration, camera perspective, image distortion, tracing placement, roof pitch, hidden surfaces, spacing, and information you enter. Entering a measurement manually does not independently verify it.

Before committing to a final quote, ordering or cutting materials, or beginning installation, verify the dimensions and site conditions material to that decision using suitable field measurements or other reliable methods. Review quantities, overage, rounding, bulb counts, clips, wire, plugs, power requirements, and equipment needs. A material allowance does not guarantee sufficient inventory.

Renderings, including AI-assisted images, illustrate a proposed appearance. Actual brightness, color, spacing, scale, and appearance may differ because of materials, property conditions, photography, and display settings. Review images before sharing them and explain material limitations to customers. Do not present a rendering as a photograph of a completed installation unless it actually is one.

4. Pricing, proposals, and installation responsibility

You control and must verify your price book, labor and material costs, margins, taxes, discounts, deposits, equipment charges, and scope. Examples, defaults, training, and sales materials are informational; they do not guarantee profitability, sales, savings, or compliance.

You are responsible for your customer agreements, required disclosures, licensing, permits, insurance, payment collection, warranties, service obligations, and disputes. A generated proposal or acceptance record does not by itself establish that every requirement for an enforceable contract or electronic signature has been satisfied.

Review customer-facing proposals and crew documents before use. An accepted or frozen project record preserves the recorded scope; it does not certify that the scope is accurate, complete, safe, or compliant. Document and obtain appropriate approval for later changes, and provide the crew with the correct instructions.

You remain responsible for jobsite assessment, electrical capacity, product compatibility, attachment methods, structural conditions, ladder and lift selection, fall protection, and safe work practices. Software notes and equipment flags do not replace a site assessment, manufacturer instructions, or applicable codes.

5. Free trial

The standard trial lasts 14 days. It requires no payment card and does not automatically become a paid subscription. At expiration, paid-feature access pauses unless you separately purchase a subscription. Trial expiration alone does not delete your saved projects.

Subscribing is a separate affirmative purchase. Any different promotional trial terms must be clearly disclosed before enrollment. We may restrict repeated trials intended to avoid payment.

6. Subscriptions, fees, and automatic renewal

The standard subscription prices as of September 15, 2026 are $69 per month or $499 per year, in U.S. dollars, plus applicable taxes. Your order or checkout identifies the price, billing interval, included features, and any agreed promotion that applies to your purchase. The annual plan is billed in one payment, not monthly installments.

A paid subscription automatically renews at its selected monthly or annual interval until canceled before renewal. By purchasing a recurring subscription, you authorize the disclosed recurring charges to your selected payment method. Accepting these Terms or starting a free trial alone does not authorize a charge.

Payments are processed through our payment provider. Keep your billing information current. We may retry failed payments and, after notice and a reasonable opportunity to resolve the problem, suspend unpaid access. No additional usage charge or optional purchase is authorized merely by accepting these Terms; additional charges must be disclosed and authorized before they are incurred.

We will give at least 30 days' advance notice of a subscription price increase, or a longer period when required by law. An increase will apply no earlier than a renewal after that notice period. You may cancel before it takes effect. We will provide renewal notices and obtain additional consent where required by applicable law.

7. Cancellation and refunds

Cancel renewal through the billing settings in your account. If you cannot access that option, email support@c9xpro.com from your account email address. We will honor a cancellation request received before renewal even if our processing occurs later, subject to reasonable identity verification. We will confirm cancellation by email or in the account.

Cancellation stops future renewals. Access continues through the paid period unless the account is terminated for a reason permitted by these Terms. Uninstalling an application or ceasing use does not cancel renewal.

Subscription payments are generally nonrefundable, and unused days or months are not ordinarily prorated. Exceptions apply where required by law, expressly promised in your purchase terms, for an erroneous or unauthorized charge, or as stated below. Contact support about billing errors; nothing here restricts your lawful payment-dispute rights.

If we permanently discontinue the Service or terminate your paid access for our convenience, we will refund the unused prepaid period. If you reject a material change under Section 15, the refund described there applies. Refunds are returned to the original payment method where practicable; bank processing times vary.

8. Your content and customer information

You retain your rights in photos, customer records, pricing information, designs, proposals, and other content you provide ("Your Content"). We do not acquire ownership of Your Content by hosting it.

You grant us a limited license to host, copy, process, transmit, display, and adapt Your Content as necessary to provide the features you use, including generating renderings and documents, maintaining backups, providing requested support, and protecting the Service. We may permit service providers to perform these activities for us subject to appropriate obligations. This license does not authorize us to use identifiable customer content in public marketing without separate permission.

You must have the rights and permissions needed to upload and process photographs, property information, logos, and other content. Provide required privacy notices and obtain necessary permissions from customers. Do not submit payment-card details in project notes, government identification numbers, health records, or other sensitive information unrelated to the Service.

Subject to third-party rights, you may use generated designs, renderings, proposals, and work orders for your business, including after cancellation. We do not promise that AI-generated output is unique, copyrightable, or free of third-party rights.

Personal information is handled as described in the C9X PRO Privacy Policy. These Terms do not waive privacy rights or authorize processing inconsistent with that policy. Where a separate data-processing agreement is required, it must be put in place for the applicable processing.

9. Sharing, exports, and retention

Use care when sharing customer information. A proposal or document link may allow anyone who possesses it to view the linked information without signing in. Share links only with intended recipients and use available access controls.

You may request an export of your account data by contacting support@c9xpro.com. We may verify your identity and authority before releasing data. Keep copies of records needed for customer contracts, accounting, and business continuity.

The expiration of a trial or paid-access period pauses access without, by itself, deleting saved work. Account deletion is a separate action. We retain and delete information according to our Privacy Policy and legal obligations. Before any planned deletion of saved project data because of inactivity, we will provide at least 30 days' notice and an opportunity to request an export, unless law or urgent security circumstances prevent notice. We do not promise indefinite storage after account deletion or permanent discontinuation of the Service.

10. Acceptable use and intellectual property

You may not use the Service to violate law or another person's rights; upload malicious code; access another company's records without permission; interfere with service operation; evade payment or access controls; impersonate others; or distribute fraudulent, abusive, or unlawful content.

You may not copy or resell the software, provide unrelated businesses with access under your subscription, remove proprietary notices, or reverse engineer the Service except to the extent applicable law permits despite this restriction. Approved integrations and ordinary exports remain permitted.

We and our licensors retain rights in the software, interface, documentation, branding, and underlying technology. Your subscription does not transfer those rights. You may provide voluntary product feedback, which we may use without compensation; that permission does not transfer ownership of Your Content or override confidentiality obligations.

Report suspected infringement to support@c9xpro.com with your contact details, identification of the work or right involved, and the location of the challenged material. We may restrict infringing content and terminate repeat infringers where appropriate.

11. Third-party services and communications

The Service may rely on payment processors, hosting providers, AI services, or mapping and imagery providers. Integrations you elect to use may have separate terms and charges disclosed by their providers. Follow applicable imagery licenses; the ability to view an image does not necessarily authorize downloading it, reselling it, or submitting it to an AI tool.

Third-party outages, restrictions, or changes may affect functionality. We will use reasonable efforts to address disruptions within our control. This section does not eliminate our obligations concerning providers acting on our behalf.

We may send account, billing, security, and service notices to your account email address. Marketing emails include an unsubscribe option. Acceptance of these Terms alone is not consent to marketing text messages or automated marketing calls. Any such program requires its own applicable disclosures and consent process.

If communication features are made available for contacting your customers, you are responsible for lawful message content, required consent, and honoring opt-outs. Availability of software does not establish permission to contact someone.

12. Availability and suspension

We may maintain, update, or modify the Service. We do not promise uninterrupted availability or delivery of future features by a particular date. We will give reasonable advance notice of changes that materially reduce paid functionality when practicable and provide the rights described in Section 15.

We may restrict access as reasonably necessary to address nonpayment, material breach, fraud, security threats, or legal requirements. Where practicable, we will explain the issue and allow a reasonable opportunity to correct it. Immediate action may be necessary for serious security risks, unlawful activity, or legal obligations.

You may request account closure through support. Closing an account stops future subscription renewals but may result in deletion of saved work. Request an export first. Amounts properly owed for prior service remain payable, subject to applicable refund rights.

13. Warranties and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT EVERY OUTPUT IS ACCURATE OR THAT THE SERVICE WILL BE ERROR-FREE. EXPRESS COMMITMENTS IN THESE TERMS AND RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED REMAIN IN EFFECT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, C9X PRO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES, ARISING FROM THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE FEES YOU PAID C9X PRO FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory of the claim, but do not limit refunds expressly owed under these Terms, liability for fraud, willful misconduct, gross negligence, or any liability that applicable law does not permit us to exclude or limit. They do not remove nonwaivable consumer rights.

14. Third-party claims

If you use the Service for a business, you agree to defend and indemnify C9X Pro LLC and its personnel against third-party claims, damages, and reasonable legal expenses to the extent caused by your unlawful use of the Service, material breach of these Terms, infringement through Your Content, or your installation work and customer commitments.

This obligation does not cover claims to the extent caused by our breach, negligence, willful misconduct, or infringement by the Service itself. We will promptly notify you of a claim, reasonably cooperate at your expense, and permit you to control the defense with competent counsel. You may not settle a claim in a way that admits fault by us or imposes nonmonetary obligations on us without our reasonable written consent.

15. Changes to these Terms

We may revise these Terms and will post the revised version with its effective date. For material changes affecting existing customers, we will provide at least 30 days' advance notice, except where a shorter period is reasonably required by law or urgent security needs. Changes do not apply retroactively to disputes or conduct that occurred before they took effect.

If you do not accept a material change, notify us before it takes effect. You may end the affected subscription and receive a prorated refund of its unused prepaid period. Continued use after the stated effective date constitutes acceptance where legally permitted; we will obtain affirmative acceptance when required by law.

16. Governing law and disputes

Tennessee law governs these Terms, excluding conflict-of-law rules, except to the extent mandatory applicable law requires otherwise. Before filing a claim, please contact support@c9xpro.com so we can attempt to resolve the issue. This request does not delay a filing deadline or prevent urgent relief.

Unless mandatory law provides otherwise, disputes may be brought in Tennessee state courts or federal courts located in Tennessee with jurisdiction over the dispute, and both parties consent to personal jurisdiction there. These Terms do not require arbitration or waive class-action rights.

17. Other terms and contact

These Terms, the applicable order, and any separately signed agreement form the agreement for your use of the Service. A separately signed agreement controls a direct conflict. Express purchase-specific terms govern the price, interval, and promotion for that purchase. Mandatory legal rights always control.

Physical lighting products, shipping, returns, installation services, and separately purchased website or marketing services require their own applicable purchase terms. Services contracted with Obsidian Lynx LLC remain governed by that entity's agreement. A software period included in a bundle does not start a paid renewal without your separate subscription authorization.

We may assign this agreement as part of a merger, reorganization, or sale of the business providing the Service, provided the successor assumes our obligations. You may transfer it with our written consent, which will not be unreasonably withheld for a legitimate transfer of your business. An invalid provision will be limited or removed as necessary without invalidating the remaining Terms. A failure to enforce a provision is not a waiver. Provisions intended to continue after termination, including accrued payment obligations, ownership, liability, and dispute provisions, survive.
